Please read these Terms of Service carefully before using PracticExit. By submitting an intake form or using any part of this platform, you agree to these terms.
1. Nature of Services
PracticExit provides preliminary business evaluation and exit-readiness analysis services for independent medical practices. Our reports are prepared for discussion and planning purposes only.
Our services do not constitute and should not be relied upon as legal advice, tax advice, accounting advice, investment banking advice, or a certified business valuation under any recognized standard (including but not limited to USPAP, ASA, or NACVA standards).
2. No Guarantee of Accuracy
All valuations, estimates, scores, and projections provided through PracticExit are based on information supplied by the user and publicly available benchmarks. We make no representation or warranty that any valuation estimate reflects the actual market value of your practice.
Actual transaction values may vary materially from any estimate provided. You should engage a qualified, credentialed business valuator, investment banker, or transaction attorney before making any material business decision.
3. Confidentiality
PracticExit treats all information submitted through this platform as strictly confidential. We will not share, sell, or disclose your practice information to any buyer, broker, health system, or third party without your explicit written consent.
We implement reasonable technical safeguards to protect your data. All files are encrypted in transit and at rest.
4. Patient Information
You agree not to submit any patient-identifiable information (PHI) through this platform. This includes patient names, dates of birth, Social Security numbers, member IDs, policy numbers, or any other information subject to HIPAA.
We are not a HIPAA Business Associate for purposes of patient data. Only financial and operational summaries are required for our analysis.
5. Limitation of Liability
To the fullest extent permitted by law, PracticExit and its principals, advisors, and affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of this platform or reliance on any report or analysis provided.
Our total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to PracticExit in the three months preceding the claim.
6. User Representations
By using this platform, you represent that: (a) you are the owner or authorized representative of the medical practice described; (b) all information you provide is accurate to the best of your knowledge; and (c) you will not submit any patient-identifiable health information.
7. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration.
8. Changes to Terms
PracticExit reserves the right to update these terms at any time. Continued use of the platform after changes constitutes acceptance of the revised terms.
